On Spot Solutions LLC ("Company," "we," "our") provides field service, maintenance, repair, and installation services for access control systems. These Terms of Service govern all work performed and establish clear expectations between the Company and our clients ("Client," "you," "your").

Field Service Liability & Operational Policy

This policy governs the terms and limitations of liability for any work performed by On Spot Solutions LLC involving the maintenance, repair, installation, or servicing of equipment at customer locations.

1. Assumption of Risk & Client Acknowledgement

By accepting an estimate or authorizing services, the Client acknowledges the inherent risks associated with performing work on active equipment, infrastructure, or operational sites. The Client assumes responsibility for any pre-existing conditions or third-party modifications that may contribute to damage, malfunction, or operational issues.

2. Disclaimer of Liability for Onsite Damage

On Spot Solutions LLC shall not be held liable for:

All work is performed with reasonable care and industry-standard practices. However, On Spot Solutions LLC disclaims all liability for incidental or consequential damage unless due to proven gross negligence or willful misconduct by the Company.

3. No Liability for Lost Revenue or Business Interruption

The Company shall not be held financially responsible for any lost income, productivity, or revenue due to:

4. Right to Operational Shutdowns for Safety

To ensure the safety of our team and to protect sensitive equipment, On Spot Solutions LLC reserves the right to:

The Client agrees to indemnify, defend, and hold harmless On Spot Solutions LLC and its employees, agents, and subcontractors from any claims, damages, losses, or expenses—including attorney's fees—arising out of:

In no event shall On Spot Solutions LLC's total liability exceed the total amount paid for the specific service provided. The Company shall not be liable for any indirect, special, incidental, or consequential damages, including loss of profits, loss of data, or loss of use.

Failure to provide suitable access may result in project delays or additional service charges.

Payment Terms & Conditions

To ensure clarity and mutual accountability, all clients engaging the services of On Spot Solutions LLC agree to the following payment terms:

1. Deposit Requirement

A non-refundable deposit equal to 50% of the total quoted price is required prior to scheduling any work. This deposit confirms the client's intent to proceed, secures labor, and covers the cost of materials and project preparation.

2. Final Payment Due Upon Completion

The remaining 50% balance is due immediately upon satisfactory completion of the project and prior to the final equipment sign-off. Work will not be deemed complete, nor will ownership or usage rights be transferred, until this final payment is received in full.

3. Accepted Payment Methods & Processing Fees

Payments may be made via:

⚠️ Credit Card Processing Fee

Credit or debit card payments are subject to a 3% processing fee per transaction, which will be added to the final invoice.

4. Late Payment Penalties

Any invoice not paid within thirty (30) calendar days of the final invoice date will be subject to a late fee of 3% per month (or the maximum rate permitted by applicable law), calculated on the unpaid balance.

5. Estimate Acceptance as Contractual Agreement

Acceptance of an estimate from On Spot Solutions LLC constitutes full acceptance of these Payment Terms & Conditions as well as the company's Standard Terms and Conditions. This agreement becomes binding upon written approval, electronic acceptance, or by making the required deposit.

Cancellation Policy

By accepting an estimate provided by On Spot Solutions LLC, the Client acknowledges and affirms their intent to proceed with the outlined scope of work. Acceptance of the estimate constitutes a binding agreement to initiate project scheduling and resource allocation.

Deposit & Commitment

To secure the job, a deposit is required. This deposit is non-refundable and serves as a commitment to the work, covering the procurement of materials, scheduling of labor, and administrative preparation. Once the deposit is received, the project is officially placed into our production queue.

⚠️ Cancellation Terms

Cancellations will only be accepted prior to the deposit being made. Any cancellation submitted after the deposit has been received will result in the forfeiture of said deposit in full.

By submitting payment of the deposit, the Client fully accepts these cancellation terms and waives any right to dispute the non-refundable nature of the deposit.

Insurance & Certificates

Commercial General Liability Insurance

On Spot Solutions LLC maintains commercial general liability insurance covering our personnel and field operations. Both parties are encouraged to maintain appropriate insurance coverage for their respective operations.

📋 Certificate of Insurance (COI)

Certificate of Insurance available upon request for qualified projects and contract requirements. Please contact us directly to request proof of coverage.

Important: For security and privacy reasons, we do not publicly display our Certificate of Insurance. COI documentation is provided directly to clients and facilities as needed for contract compliance and project bidding.

Legal & Dispute Resolution

Governing Law

This policy is governed by the laws of the Commonwealth of Massachusetts. Any disputes arising under this agreement shall first be subject to good faith mediation. If unresolved, the matter shall be referred to arbitration in Suffolk County, MA.

Claims and Notices

All claims must be submitted in writing within thirty (30) days of project completion or incident discovery. Claims submitted beyond this period will be considered void and waived.
